Terms of Use

1. Scope of These Terms

These Terms of Use govern use of the public Site only. They do not by themselves govern any transaction, mandate, investment, financing, confidentiality arrangement, diligence process, commercial engagement, or other relationship with Best Holdings.

Any separately executed agreement, including a confidentiality agreement, mandate agreement, transaction document, definitive agreement, diligence protocol, or other written arrangement, governs the subject matter addressed by that agreement. If these Terms conflict with an executed agreement applicable to a specific engagement, the executed agreement controls with respect to that engagement.

Nothing on the Site modifies, waives, expands, or limits obligations expressly established in separately executed documentation.

2. About Best Holdings

Best Holdings is a U.S.-based firm focused on strategic transactions and investments across Real Assets, Energy, Natural Resources, and Private Capital.

Best Holdings operates primarily through selective, mandate-led engagements and may support commercial positioning, introductions, counterparty coordination, transaction structuring, documentation alignment, diligence processes, and execution coordination. The role Best Holdings assumes in any particular matter is determined by the applicable facts and written engagement or transaction documentation.

Descriptions of Best Holdings' capabilities or activities on the Site should not be interpreted as establishing a role, authority, obligation, regulatory status, or transaction relationship that has not otherwise been expressly documented.

3. Informational Nature of the Site; No Reliance

The Site and its contents are provided for general informational purposes only. Materials available through the Site may summarize complex subjects, market conditions, transaction concepts, assets, industries, regulatory developments, commercial practices, or other matters and may not contain all information relevant to a particular decision, transaction, investment, engagement, or circumstance.

Information may change after publication. Certain information may be based on third-party, public, counterparty, market, or other external sources and may not have been independently verified by Best Holdings. The inclusion of information on the Site does not constitute a representation that the information is complete, current, independently verified, or appropriate for any particular purpose.

You are responsible for conducting your own evaluation and obtaining independent legal, financial, tax, accounting, technical, regulatory, commercial, banking, insurance, compliance, or other professional advice as appropriate. You should not enter into, fund, approve, reject, structure, or otherwise act with respect to any transaction or opportunity solely in reliance on information made available through the Site.

4. No Offer, Solicitation, Advice, or Transaction Commitment

Nothing on the Site constitutes or should be construed as an offer to buy or sell any security, commodity, asset, property, financial instrument, investment interest, service, or other product; a solicitation of an offer to enter into any investment, financing, purchase, sale, supply, brokerage, advisory, commercial, or other transaction; investment, financial, legal, tax, regulatory, accounting, banking, technical, commercial, or other professional advice; or a recommendation concerning any asset, transaction, counterparty, market, investment, strategy, structure, or course of action.

Nothing on the Site constitutes a commitment by Best Holdings or any other person to pursue, finance, approve, execute, or complete any transaction or engagement, or confirmation that any opportunity, allocation, asset, mandate, transaction, financing source, buyer, seller, supplier, or other commercial relationship remains available on any particular terms.

Any potential transaction or engagement is subject to applicable diligence, counterparty qualification, commercial agreement, internal approval, definitive documentation, and applicable law. Accessing the Site, contacting Best Holdings, submitting an inquiry, receiving a response, exchanging preliminary information, or participating in an introductory discussion does not create an agency, fiduciary, advisory, brokerage, dealer, partnership, joint venture, financing, buyer-seller, mandate, or other contractual relationship.

5. Best Holdings' Role and Transaction Boundaries

Best Holdings' role may differ from one engagement to another. Depending on the circumstances and applicable documentation, Best Holdings may act in an origination, coordination, structuring, mandate-led representation, transaction-support, or principal capacity. No role should be inferred solely from the Site, from access to information, or from a preliminary communication.

Unless expressly established in applicable written documentation, Best Holdings should not be understood to be acting as the underlying buyer, seller, custodian, carrier, escrow provider, refinery, assayer, bank, insurer, guarantor, broker-dealer, investment adviser, payment service provider, or other regulated or independent service provider with respect to a transaction.

Best Holdings does not represent through the Site that it is licensed, registered, certified, or regulated under any particular financial, investment, commodities, payment, custody, or other regulatory regime unless expressly stated and applicable to the activity in question. Any assumption by Best Holdings of a particular transaction role, obligation, ownership interest, title position, custody function, payment responsibility, guarantee, or potentially regulated function must be established separately through appropriate written documentation and, where applicable, regulatory analysis.

6. Transaction and Third-Party Information

The Site may contain information concerning industries, markets, commercial opportunities, assets, counterparties, transaction structures, operating businesses, projects, or other matters that originates in whole or in part from third parties. Such information may be supplied by asset owners, buyers, sellers, suppliers, mandate holders, operators, advisers, service providers, counterparties, public sources, institutional sources, or other persons.

Publication or communication of third-party or transaction information does not itself constitute a guarantee or independent verification by Best Holdings of ownership or title; authority or mandate status; authenticity or provenance; quantity, grade, specification, quality, or condition; origin; availability or exclusivity; valuation, pricing, or economics; performance; legal or regulatory status; financing or liquidity; custody, logistics, insurance, inspection, assay, or delivery; banking, payment, escrow, or settlement arrangements; or the likelihood, timing, or completion of a transaction.

Any representations or warranties relating to a particular transaction are only those expressly set forth in applicable written documentation. Transaction information is inherently subject to change as diligence progresses, markets move, parties revise terms, documentation is updated, and commercial, legal, technical, logistical, or financial conditions develop. Independent verification remains necessary before reliance or execution.

7. Market Commentary and Forward-Looking Information

The Site may include research, perspectives, estimates, forecasts, expectations, opinions, market observations, or other statements concerning future conditions or events. Forward-looking information is inherently uncertain and may be affected by economic conditions, commodity prices, interest rates, capital markets, geopolitical developments, trade policy, regulation, technology, infrastructure, supply and demand, logistics, counterparty behavior, and other factors beyond Best Holdings' control.

Actual conditions or outcomes may differ materially from those discussed or anticipated. Publication of a view or analysis does not create an obligation to update it when circumstances change, and subsequent events may render previously published information incomplete or obsolete. Historical information, past transactions, prior market conditions, or examples discussed on the Site should not be treated as guarantees or indications of future results.

8. Confidentiality and Information Submitted to Best Holdings

The public Site and general inquiry channels are not intended to function as secure data rooms or substitutes for transaction-specific confidentiality arrangements. You should not submit sensitive personal information, banking information, payment instructions, identity documents, confidential transaction materials, proprietary business information, trade secrets, or other sensitive information through a general website communication channel unless Best Holdings has requested the information and an appropriate method of transmission has been established.

Information does not become subject to a contractual duty of confidentiality solely because it is submitted through the public Site or a general inquiry channel. Where information is provided pursuant to an existing confidentiality agreement, mandate agreement, controlled diligence process, data-room arrangement, definitive transaction agreement, or other written confidentiality obligation, that agreement or arrangement governs according to its terms.

Nothing in these Terms reduces or overrides any confidentiality, non-circumvention, use restriction, disclosure restriction, or other protection established in an applicable written agreement. By submitting information to Best Holdings, you represent that you are authorized to provide it and that doing so does not violate any law, contractual obligation, confidentiality duty, intellectual property right, or other right of a third party. Personal information submitted to Best Holdings is handled as described in our Privacy Policy.

9. Intellectual Property and Permitted Use

Unless otherwise indicated, the Site and its contents, including text, publications, Perspectives, research, graphics, logos, trademarks, service marks, design elements, documents, photographs, and other materials, are owned by or licensed to Best Holdings and are protected by applicable intellectual property laws.

Subject to these Terms, you may access and use publicly available Site content for lawful personal, professional, or internal business informational purposes. Without prior written permission from Best Holdings, you may not reproduce, republish, distribute, sell, license, sublicense, or commercially exploit Site content; materially modify Site content or create misleading derivative works from it; remove proprietary notices; use Best Holdings' name, marks, branding, or materials in a manner suggesting an affiliation, endorsement, authority, or approval that does not exist; systematically extract Site content for commercial exploitation; or reproduce substantial portions of the Site in another website, database, publication, service, or commercial product.

Nothing in these Terms grants any ownership interest in Best Holdings' intellectual property.

10. Prohibited Use

You may not use the Site for any unlawful, fraudulent, deceptive, abusive, or unauthorized purpose; to impersonate Best Holdings or another person or organization; to falsely claim a mandate, affiliation, transaction authority, approval, endorsement, inventory position, commercial relationship, or other connection to Best Holdings; to interfere with or compromise the Site or its security; to attempt unauthorized access to systems, accounts, servers, networks, documents, or restricted materials; to introduce malware or other harmful technology; to circumvent access or security controls; to collect information through unauthorized automated means; or to violate applicable sanctions, export controls, trade restrictions, privacy requirements, intellectual property laws, or other applicable laws.

Best Holdings may take reasonable steps to restrict access to the Site where it reasonably believes these Terms have been violated or where restriction is appropriate to protect the Site, Best Holdings, another person, or an active commercial process.

11. Third-Party Websites and Services

The Site may contain links to third-party websites, publications, databases, services, or other resources. Those links are provided for convenience or informational purposes. Best Holdings does not control third-party sites and is not responsible for their availability, accuracy, security, privacy practices, content, products, services, or terms.

A link does not by itself constitute an endorsement, recommendation, sponsorship, affiliation, or representation concerning the third party. Your use of third-party websites or services is subject to the terms and policies applicable to those third parties.

12. Fraud, Impersonation, and Payment Security

High-value transactions and cross-border commercial activity can create risks of impersonation, payment diversion, fraudulent instructions, account substitution, and other forms of deception. The Site, public social-media content, or an unsolicited message should never be treated by itself as authority to transfer funds, securities, commodities, assets, documents, credentials, or other items of value.

Before acting on any communication purporting to establish or change banking details, payment instructions, delivery instructions, custody arrangements, transaction authority, or other material execution terms, you should independently verify the communication through a known and authorized contact using an independently established communication channel. Particular care should be exercised when payment instructions change unexpectedly, a new bank account or beneficiary is introduced, a third-party payee or intermediary is substituted, unusual urgency or secrecy is requested, or instructions are inconsistent with approved transaction documentation.

Best Holdings' official corporate domain is bestholdings.com. Suspected impersonation, fraudulent communications, or unauthorized use of Best Holdings' name should be reported to info@bestholdings.com.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT MADE AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

Best Holdings does not warrant that the Site or its contents will be accurate, complete, current, uninterrupted, error-free, secure, free from harmful components, suitable for any particular purpose, or available at any particular time or location. To the maximum extent permitted by law, Best Holdings disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and warranties arising from course of dealing, usage, or trade practice in connection with the Site.

This Section applies to the public Site and does not modify any express representation or warranty undertaken by Best Holdings in a separately executed agreement.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEST HOLDINGS WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, INABILITY TO USE, OR RELIANCE ON THE SITE OR ITS CONTENTS, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER THEORY OF LIABILITY.

This limitation includes, to the extent permitted by law, direct, indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings; and loss arising from reliance on public Site information in place of appropriate independent diligence, professional advice, counterparty verification, or definitive transaction documentation.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. This Section applies to claims arising from the public Site and does not alter liability expressly undertaken in a separately executed agreement.

15. Changes to the Site and These Terms

Best Holdings may modify, suspend, withdraw, or discontinue any part of the Site at any time. Best Holdings may also revise these Terms from time to time to reflect changes in the Site, business activities, legal requirements, commercial practices, or other circumstances.

The effective date shown at the top of these Terms will be updated when the Terms are revised. Where appropriate, Best Holdings may provide additional notice of material changes. Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

16. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

Subject to any mandatory rights or jurisdictional requirements that cannot lawfully be waived, you and Best Holdings consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware for any dispute arising out of or relating to the Site or these Terms.

17. Miscellaneous

The Site is operated from the United States. If you access the Site from another jurisdiction, you do so on your own initiative and are responsible for compliance with applicable local laws.

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions remain in full force and effect, and the affected provision will be enforced to the maximum extent permitted by law. A failure by Best Holdings to enforce any provision does not constitute a waiver, and any waiver must be express and in writing.

These Terms constitute the entire agreement between you and Best Holdings concerning use of the public Site. They do not supersede or replace any separately executed agreement governing a transaction, mandate, confidentiality arrangement, diligence process, commercial relationship, or other engagement. Section headings are provided for convenience and do not affect interpretation.
